本销售条款与条件（以下简称“条款”）适用于 Sedia Elin SRL（品牌名称 LUCA SEDIA，以下简称“卖方”）与客户（以下简称“买方”）之间的所有销售合同。
1. 订单与合同
- 所有订单均视为要约，须经卖方书面确认（订单确认书）后方可生效。
- 除非另有书面约定，报价有效期通常为 30 天。
2. 产品特征与公差
买方承认木材、皮革和织物是天然材料，可能会出现纹理、颜色或色调的细微差异。
- 这些差异不被视为缺陷，而是产品手工制作和天然属性的证明。
- 对于纺织品和衬垫材料，尺寸可能存在 +/- 2% 的合理公差。
3. 价格与支付
- 除非另有说明，所有价格均为欧元 (EUR)，不含增值税 (IVA) 和运费（出厂价 Ex Works）。
- 付款条件以订单确认书为准。对于定制订单，通常需要在生产前支付定金。
4. 交货与运输
- 交货时间仅为估算值，不构成合同的必要条款。
- 除非另有约定，交货条款为 EXW (Ex Works) - Meda, Italy。货物风险在交付给承运人时转移给买方。
- 买方有义务在收货时检查包装和数量。任何外观损坏必须在交货单上注明并在 48 小时内书面通知卖方。
5. 撤销权与退货
由于我们的产品大多为按需定制（颜色、面料、尺寸），根据消费者法典（Codice del Consumo）第 59 条，买方无权行使撤销权或无理由退货，除非产品存在已证实的结构缺陷。
6. 质保
我们为产品结构提供 2 年 的质量保证，涵盖制造缺陷。质保不包括正常磨损、使用不当或意外损坏。
7. 适用法律与管辖权
本合同受意大利法律管辖。任何争议将由 Monza (MB) 法院独家管辖。
Le presenti Condizioni Generali di Vendita disciplinano l'offerta e la vendita di prodotti tramite Sedia Elin SRL (LUCA SEDIA).
1. Ordini e Accettazione
- L'ordine si intende accettato solo dopo conferma scritta (Conferma d'Ordine) da parte del Venditore.
- Eventuali modifiche all'ordine devono pervenire per iscritto entro 24 ore dalla conferma.
2. Caratteristiche dei Prodotti
Il Cliente prende atto che legno, pelle e tessuti sono materiali naturali soggetti a variazioni di venatura e tonalità.
- Tali variazioni non costituiscono difetto ma attestano l'artigianalità del prodotto.
- Le dimensioni possono subire una tolleranza del +/- 2% dovuta alla lavorazione artigianale.
3. Prezzi e Pagamenti
- I prezzi sono espressi in Euro (€), IVA esclusa, Franco Fabbrica (Ex Works) salvo diversa pattuizione.
- Il mancato pagamento alle scadenze pattuite darà luogo all'addebito degli interessi di mora e alla sospensione delle consegne.
4. Spedizione e Consegna
- I termini di consegna sono indicativi. Eventuali ritardi non danno diritto a risarcimenti.
- La merce viaggia a rischio e pericolo del Committente (Incoterms: EXW Meda), anche se spedita in porto franco.
- Reclami per danni visibili devono essere annotati sul documento di trasporto al momento dello scarico.
5. Diritto di Recesso (Esclusione)
Ai sensi dell'art. 59 del Codice del Consumo, il diritto di recesso è escluso per la fornitura di beni confezionati su misura o chiaramente personalizzati.
6. Garanzia
I prodotti sono coperti da garanzia per 2 anni per difetti di conformità strutturale. Sono esclusi danni da usura, uso improprio o manutenzione errata.
7. Legge Applicabile e Foro Competente
Per ogni controversia è competente in via esclusiva il Foro di Monza (MB). Si applica la legge italiana.
These General Terms and Conditions of Sale govern the offer and sale of products by Sedia Elin SRL (trading as LUCA SEDIA).
1. Orders and Contract
- Orders are binding only upon written confirmation (Order Confirmation) from the Seller.
- Quotes are valid for 30 days unless otherwise specified.
2. Product Features & Tolerances
The Buyer acknowledges that wood, leather, and fabrics are natural materials subject to variations in grain, texture, and color.
- These variations are not defects but proof of the handcrafted nature of the product.
- Dimensions may have a tolerance of +/- 2% due to upholstery and manual manufacturing.
3. Prices and Payment
- Prices are in Euros (€), VAT excluded, Ex Works (EXW) Meda, unless otherwise agreed.
- Payment terms are specified in the Order Confirmation. Custom orders typically require a deposit before production.
4. Delivery and Transport
- Delivery dates are estimates only and not of the essence.
- Unless agreed otherwise, delivery is EXW (Ex Works) - Meda, Italy. Risk transfers to the Buyer upon handover to the carrier.
- Any visible damage must be noted on the delivery note upon receipt and reported in writing within 48 hours.
5. Returns and Withdrawal
As our products are made-to-order (customized fabrics, finishes), the right of withdrawal is excluded for these goods, pursuant to Art. 59 of the Consumer Code.
6. Warranty
We provide a 2-year warranty covering structural manufacturing defects. Normal wear and tear, improper use, or accidental damage are excluded.
7. Applicable Law and Jurisdiction
This contract is governed by Italian law. Any dispute shall be subject to the exclusive jurisdiction of the Court of Monza (MB).
